amnimo Inc.
Thank you for your inquiry to amnimo Inc. (hereinafter “we” or “us”). Except as specifically stated in the quotation or quotation specifications, these General Terms and Conditions apply to any contract. Please review them before placing an order.
1. Scope
These General Terms and Conditions apply to the following products we provide, where the delivery location and the final destination of use are in Japan.
(1) Hardware products: Edge gateways, IoT routers, compact routers, and amnimo Portable devices (including the product firmware they contain) that are described in our General Specifications (hereinafter “GS”) and bear our trademark. Product firmware means software built into the product functions to perform basic control of the product hardware. Product firmware is software built into the product functions and is included in our software products subject to Article 10 (License for Software Products) (however, for OSS, the OSS license terms presented separately take precedence).
(2) Software products: Application software products that use the above hardware products. The terms of use for the cloud software provided with hardware products for remote monitoring, namely the Device Management System, the Enhanced Video Management System, the Cloud Video Recorder, and the amnimo Portable Cloud Service, are set out separately in their terms of use or similar documents. For software products developed by third-party companies (products we handle as standard), you also agree to the terms set out in the applicable terms of use or similar documents.
(3) Related products: Related products means (1) accessories required to operate the hardware products that meet the specification conditions required for the hardware products to operate and that we deliver at your request, or (2) hardware or software made or manufactured by a third party that we select and deliver based on specifications you have approved.
(4) End customer: A person who owns and uses our products.
2. Quotations
2.1 Validity of quotations: Unless otherwise stated in the quotation, a quotation is valid for one month from its date of issue. If you place an order after the validity period has expired, we will issue a new quotation.
2.2 Significant changes in the basis of quotation: If materials, labor, or other costs for us (including our suppliers and business partners) change significantly because of unforeseen circumstances (including circumstances beyond our control, such as the spread of infectious diseases or other force majeure events), we may ask to change the price or other conditions after consulting with you, even after the contract has been concluded.
2.3 Delivery date and quoted price: The quoted price assumes delivery within 12 months from the date the quotation is submitted. If delivery takes longer than 12 months, we may discuss the price or other conditions with you, even after the contract has been concluded.
2.4 Consumption tax: Unless otherwise stated, the amounts in the quotation do not include consumption tax. An amount equal to the consumption tax will be added to the total.
3. Contracts
3.1 Formation of contract: A contract for a quotation is formed when we issue an order acknowledgment in response to a purchase order you have issued, or when we confirm and accept the details of your order. If you do not receive a notice of rejection from us within 14 of our business days after we receive the purchase order, an individual contract between you and us is deemed to be formed when those 14 business days have passed.
3.2 Cancellation: As a rule, we cannot accept cancellations.
Even if we unavoidably accept a cancellation following your written notice of cancellation, we will charge the costs incurred up to the date we accept the cancellation as a separate cancellation fee.
4. Inspection and transfer
You will carry out the inspection at the delivery location you designate, in accordance with our inspection standards, and inform us of the results within one week of delivery (hereinafter the “acceptance inspection period”). In the inspection, you will check whether there is any nonconformity with the specifications and quantities set out in the quotation, quotation specifications, or similar documents. Transfer of the products to you is complete when you confirm that there is no nonconformity with the contract. If you do not notify us in writing of a nonconformity within the acceptance inspection period, the products are deemed to have passed your inspection and to have been transferred when the acceptance inspection period ends. After transfer, except as provided in these General Terms and Conditions, we are released from all liability concerning the products, including loss, damage, and nonconformity with the contract found afterward.
5. Delivery, transport, and packing costs
We deliver the products to the receiving location you designate (the delivery location). We bear the transport and packing costs when the delivery location is in Japan and our standard packing is used. However, we charge separately for delivery to remote islands, remote areas, and other places that are difficult to reach by vehicle. You are responsible for carrying the products to the place of use, unpacking, installation, and handling and disposal of the packing boxes.
6. Suspension of work and postponement of receipt
If receipt of the products is postponed for a certain period or longer for reasons on your side, we will charge the costs this causes separately.
7. Payment and transfer of ownership
After transfer at the location you designate is complete, you will pay in cash to the account we designate by the date we designate. Ownership of the products passes to you when transfer to you is complete.
8. Documents
We provide the following documents, prepared according to our standard specifications, on the following basis.
8.1 Instruction manuals: Where a manual is prepared as an accessory of the product, we include one copy free of charge. You can also download it from the designated website.
8.2 Inspection reports and similar documents: As a rule, we do not submit inspection reports.
If you specifically request one, we provide it in our standard format for a fee.
Other special documents are charged for, and we quote for each case individually.
9. Engineer support
9.1 Dispatch of engineers for on-site work at delivery: If we dispatch engineers at your request for on-site work such as explaining how to handle the products at delivery or wiring to external equipment, we charge separately for this.
If the work environment is hazardous (for example, a location with an explosion hazard or radiation hazard), we may present special conditions concerning the work environment.
In all cases, please provide, free of charge and where the engineers need them, the equipment, labor, electricity, water, communication facilities, and other items the dispatched engineers require.
9.2 Dispatch of engineers for training: If we dispatch engineers at your request to train the staff who will use the products, we charge separately for this.

If you resell the products to an end customer, we also grant the end customer the right to use our software products, on condition that the end customer complies with these General Terms and Conditions and the accompanying documents. The conditions of use are as set out in these General Terms and Conditions and in our General Specifications, instruction manuals, and other accompanying documents. You may not use our software products beyond that scope.

No rights are transferred or assigned to you.
10.5 Confidentiality: You will not disclose or leak the proprietary property and trade secrets described in the preceding paragraph, or the key codes (license files), to any third party other than your officers, employees, or equivalent persons who need them to use our software products. You will impose confidentiality obligations on those employees and other persons.
10.6 Actions on termination: When you stop using our software products or when a contract under these General Terms and Conditions is terminated, you will return our software products and all copies to us and completely erase any copies recorded on hardware or other storage media. When you dispose of storage media on which our software products or their copies are recorded, you must completely erase the contents stored on them.
10.7 Third-party programs: Our software products may include software programs for which a third party has granted us the right to sublicense or transfer (hereinafter “third-party programs”). If the supplier of a third-party program (hereinafter the “supplier”) sets license terms that differ from these terms, the terms presented separately take precedence over these terms. For some third-party programs, you receive the license directly from the supplier.
10.8 Open source software: Our software products include open source software (hereinafter “OSS”). For OSS, the terms presented separately take precedence over this article.

(3) No warranty for product firmware: We do not warrant that the product firmware is free of errors. We sell products within the scope of the terms and warranty conditions for the firmware of third-party products.

Any individual conditions will be set out separately.
12. Precautions for product use
The products we provide are not designed or manufactured for use in situations that directly involve human life, such as nuclear and radiation-related equipment, railway facilities, aviation equipment, marine equipment, aviation facilities, or medical equipment.
